Terms of Use

Welcome to HeyyPal, the world’s first dating app with audio. This Agreement sets out the legally binding terms for the use of the Site and the app (available on whichever platform) by you. This Agreement may be modified by HeyyPal from time to time. The membership and rights of admissions are reserved.

The instant Terms of Use are published in accordance with the Rule 3 (1) of the Information Technology (Intermediaries Guidelines and Digital Media Ethics Code) Rules, 2021.

These terms of use apply to your use of the website of HeyyPal, being “www.HeyyPal.com” (the “site” or the "website") and HeyyPal mobile application (Android/ iOS application) (the "app") by you (“the user” or “you”), provided by Private Limited registered at B3/83, Basement. Safdarjung Enclave, New Delhi - 110029 ("we" or "us" or "our" or "HeyyPal" or “company”). You are requested to go through the same since the users of the website and the app are bound by the terms of use set out below. If you have any objection to anything stipulated in the terms of use or our privacy policy, you are requested not to use the website or the app or any other service(s) offered by us.

1. Services

HeyyPal is an online dating and interaction platform providing the following, amongst other, services (collectively referred to as the “services”):

Audio Profiles : Every profile on HeyyPal app has an Audio introduction.

Text Messages : Users can send text messages to other users on the HeyyPal app.

Audio Calling : HeyyPal app provides a paid facility (through in-app purchases) of audio calling to the users, whereby users can talk to other users on call (through in-app calling), without revealing their number(s).

Digital Gifts : HeyyPal app also enables its users to buy (through in-app purchases) and send digital gifts to other users.

Random Call : HeyyPal also provides a random in-app calling feature, whereby users are paired with random person(s), available at the relevant time.

Access to the HeyyPal website and app is free. However, we also provide paid services as highlighted above.

2. Acceptance of the Terms

In order to use the services of HeyyPal, you must register as a member on the app. HeyyPal is an intermediary as defined under sub-clause (w) of Section 2 of the Information Technology Act, 2000. This Agreement is an electronic contract that establishes the legally binding terms you must accept to use the Site and the app and to become a "Member." For purposes of this Agreement, the term "Member" means a person who voluntarily submits information to the Site whether such person uses the Service as a free member, or as a paid member and user shall mean a person who uses the site or the app or any of the services offered by HeyyPal through its site or app.

By using the site or the app, you agree to be bound by these Terms of Use ("Agreement"). By entering, connecting to, accessing or using the Site and/or the Service, you acknowledge that you have read and understood the instant terms of use, including the terms of our Privacy Policy available at: “https://heyypal.com/policies/privacy” (the "Privacy Policy") (collectively, referred to as the "Terms") and you agree to be bound by them and to comply with all applicable laws and regulations regarding your use of the Site and the app and the services and you acknowledge that these Terms constitute a binding and enforceable legal contract between HeyyPal and you.

By using the Service, you consent to submit your personally identifiable information including sensitive personal data such as your financial data, if opted for our premium services; to collect, process, display and use the said information to provide the Services and to contact you by other Members. If you have any objection in collecting/processing of your personal data, we advise you not to register with our Site or the app.

If you want to withdraw this consent or if you have any objection in continuous collection or storage of your personal details, you must discontinue using our Service and delete your account by sending an email from your registered email ID to admin@dtws.inor by following these steps: Go to my profilePrivacy & Security Click Delete Account, it will ask for re confirmation, click Yes Delete Account and your account will be deletedas we shall not be able to provide you any Service without having your personally identifiable information.

We reserve the right, at our discretion, to make changes to the terms at any time. We may do this for a variety of reasons including to reflect changes in new features, changes in business practices or requirements of the law. The most updated version is available on our app and website with the date of last revision. Users are requested to keep themselves updated with the periodical changes brought about in the terms. In case of any material change, we will make reasonable efforts to post a clear notice on the Site and/or will send you an e-mail to the e-mail address that you may have provided to us during the registration process regarding such change. Such material changes will take effect seven (7) days after such notice was provided on our Site or sent via e-mail, whichever is earlier. Otherwise, all other changes to these Terms are effective as of the stated "Last Revised" date and your continued use of the Site and/or the Service on or after the Last Revised date will constitute acceptance of, and agreement to be bound by, those changes. In the event that the Terms should be amended to comply with any legal requirements, the amendments may take effect immediately, or as required by the law and without any prior notice.

3. Eligibility

To register as a Member of HeyyPal or to use this Site, you must be legally competent. The Services are available only to individuals who (a) are at least 18 years old, however, if a law requires that you must be older in order for HeyyPal to lawfully provide the Services to you (including the collection, storage, and use of your information) or for you to receive the services offered by HeyyPal, then the minimum age is such older age; and (b) possess the legal capacity to enter into these Terms and to form a binding agreement under any applicable law.
HeyyPal is only an intermediary facilitating personal advertisement for potential matchmaking, dating and interaction between persons who are legally competent to use the site and app and to utilise the services.
By using the site and app, you represent and warrant that you have the right, consent, authority, and legal capacity to enter into this Agreement; submit relevant information to us; and that you are not prohibited or prevented by any applicable law for the time being in force or by any order or decree or injunction from any court, tribunal or any such competent authority restraining you, in any manner, from the use of the site and app or utilise any of the services.
You further confirm that you agree to abide by all of the terms and conditions of this Agreement and to use the service in conformity with all applicable laws. If at any time HeyyPal is of the opinion (in its sole discretion) or has any reason to believe that you are not eligible to become a member or that you have made any misrepresentation, or violated any provisions of the Terms of Use or applicable laws, HeyyPal reserves the right to forthwith terminate your membership and / or your right to use the Services, without any prior notice or any refund to you in respect of payment made for any of paid services, whether utilized or unutilized.
HeyyPal reserves the right to share information with third parties in terms of the Privacy Policy, including with regards to any promotions or offers exclusive to our members.

4. Account Security.

You are responsible for maintaining the confidentiality of your login credentials you designate during the registration process, and you are solely responsible for all activities that occur under your account. You agree to immediately notify us of any disclosure or unauthorized access/use of your account or any other breach of security, and ensure that you log out from your account at the end of each session.

HeyyPal shall not be responsible for any loss or damage to any individual arising out of, or subsequent to, any such unauthorised access/ use.

5. Term and Termination.

This Agreement will be effective, valid and subsisting as long as you use our Site or app.

You may terminate your membership at any time, for any reason, by deleting your profile from the site, app or by writing to HeyyPal. In the event you terminate your membership, you will not be entitled to a refund towards any unutilized digital services, if any, paid by you, except where otherwise guaranteed in writing.

HeyyPal may terminate your access to the Site, app and/or your membership for any reason including but not limited to the breach of the terms of use, using the service for commercial purposes, engaging in prohibited or inappropriate communication or activity, by sending notice to you at the email address as provided by you in your application for membership/ registration or such other email address as you may later provide to HeyyPal. If HeyyPal terminates your membership for breach of terms of this Agreement, you will not be entitled to any refund of any money paid by you in respect of any paid services, utilized or unutilized.

6. Non-Commercial Use by Members.

The Site and the app are meant exclusively for the personal use of individual members to find, pair and interact with other members for the purpose of dating or making friends and cannot be used in connection with any commercial endeavour. This includes providing links to other web sites, whether deemed competitive to HeyyPal or otherwise. Organizations, companies, and/or businesses cannot become Members of HeyyPal and should not use the Service or Site or app of HeyyPal for any purpose. Illegal and/or unauthorized use(s) of the Site, including unauthorized framing of or linking to the Site will be investigated, and appropriate legal action will be taken, including without limitation, civil, criminal, and injunctive redress.

7. Other Terms of Use for Members.

HeyyPal reserves the right in its sole discretion to review the activity and status of each account and block access to the member based on such review.
HeyyPal reserves the right at its sole discretion to restrict/suspend your access to its website based on review of the member's activity, status or any such criteria HeyyPal may deem fit and proper with due intimation to you.
You hereby confirm that as on date of this registration, you do not have any objection to receive emails, SMS/WhatsApp messages and calls from HeyyPal and members/users of HeyyPal as long as you are a registered member/user of HeyyPal including SMS permission for authenticating mobile verification and transactions via OTP, sent by the Payment Gateway. This consent shall supersede any preferences set by you with or registration done with the Do Not Disturb (DND Register)/ National Customer Preference Register (NCPR). This consent extends to emails, messages or calls relating to but not limited to phone number verification, advertising service, business/ operation/ service enquiries and promotions.
Multiple profiles of the same person are not allowed on our Site or app. HeyyPal reserves the right to deactivate all multiple profiles without issuance of any refund, whatsoever.
You confirm that the Content, information including the personal information provided by you is correct and accurate. Impersonation is a crime and punishable under various laws.
You cannot engage in advertising to, or solicitation of, other Members to buy or sell any products or services, of any kind.
You will not transmit any chain letters or junk email to other HeyyPal Members/users. Although HeyyPal cannot monitor the conduct of its Members off the HeyyPal Site or app, it is also a violation of the Agreements to use any information obtained from other members/users in order to harass, abuse, or harm another person, or in order to contact, advertise to, solicit, or sell to any Member/ user without their prior explicit consent.
HeyyPal reserves the right to take appropriate steps to protect HeyyPal and/or its Members/users from any abuse/misuse as it deems appropriate in its sole discretion.
You hereby agree that you shall not use the Services and the platforms to harass any member.
You shall interact with other members/users with due respect and with due regard to their privacy.
You cannot use any automated processes, includingIRC Bots, EXE's, CGI or any other programs/scripts to view content on or communicate / contact / respond / interact with HeyyPal and/or its members/users.
You shall not communicate to any member/user any information that you know is false, misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous.
HeyyPal reserves the right to screen communications that you may send to other Member(s) and also regulate the same by deleting unwarranted/obscene communications/advertisements at any time at its sole discretion without prior notice to anyMember/user. However, user(s) by using the site, app or the services acknowledge that HeyyPal has no control over the flow of data/ messages/ communication and shall not be held liable by any user in case any of the prohibited activities are undertaken by any user/ member.
HeyyPal members/users are expected to exercise reasonable precautions for their privacy and safety.

8. Proprietary Rights in the Content

HeyyPal owns and retains all proprietary rights in the HeyyPal Site, app and the services. The Site and app contain copyrighted material, trademarks, and other proprietary information belonging to HeyyPal, and/or its licensors. Except for that information which is in the public domain or for which permission has been obtained from HeyyPal or the user (as the case may be), you cannot copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information. Any such act or an attempted act on your part shall constitute a violation of this Agreement and your membership is liable to be terminated forthwith without the right of refund. HeyyPal reserves the right to take legal action (civil and/or criminal) wherever applicable for any violation(s).

9. Content Posted on the Site

You understand and agree that HeyyPal may delete any listing, content, communication, photos or profiles (collectively, "Content") that in the sole judgment of HeyyPal violate this Agreement or which might be offensive, illegal, or that might violate the rights, or harm/ threaten the safety of either HeyyPal and/or of its Members/users.

With respect to Content you submit or make available for inclusion on publicly accessible areas (if any) of the Site or the app, you hereby unconditionally and irrevocably grant to HeyyPal the consent and license to use, store, distribute, reproduce, prepare derivative works of, modify, adapt, publicly perform and publicly display such Content on the Site and the app and to the members/users of HeyyPal, from time to time.

You understand and hereby agree that all information, data, text, photographs, graphics, communications, tags, or other Content whether publicly posted or privately transmitted or otherwise made available to HeyyPal are the sole responsibility of the person from whom such Content originated and shall be at the member's/person's sole risks and consequences. This means that you (and not HeyyPal) are solely responsible for all Content that you upload, post, email, transmit or otherwise make available via the Service. HeyyPal does not control the Content posted/transmitted via the Services and, as such, does not guarantee the accuracy, integrity or quality of such Content. We advise all User/s to independently verify the content /information posted by the other members before acting upon the same and under no circumstances will HeyyPal be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Service.

HeyyPal reserves the right to check the authenticity of Content posted on the Site. In exercising this right, HeyyPal may ask you to provide any documentary or other form of evidence supporting the Content you post on the Site. If you fail to produce such evidence to the satisfaction of HeyyPal, HeyyPal may, in its sole discretion, terminate your Membership without any refund.

The following is an indicative (not exhaustive) list of the kind of Content that is illegal or prohibited on the Site and the app. HeyyPal will investigate and take appropriate legal action in its sole discretion against anyone who violates this Agreement, including without limitation, removing the offending communication/Content from the Service and terminating the Membership of such violators without a refund. Illegal and prohibited Content includes Content which:

is blatantly offensive to the community, such as Content that promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
belongs to another person and in respect of which the user does not have any right;
harasses or advocates harassment of another person;
is obscene, pornographic, paedophilic, or otherwise sexually explicit/ provocative;
is invasive of another’s privacy including bodily privacy;
causes/ intends to cause insult or harassment on the basis of gender, race, creed, caste and ethnicity or is otherwise racially or ethnically objectionable;
relates to or encourages money laundering or gambling;
is intended to outrage/ wound religious feelings of any class by insulting its religion or religious beliefs and/ or otherwise promotes religious disharmony amongst different groups;
promotes enmity between different groups on the grounds of religion or caste with the intent to incite violence;
is harmful to child;
involves the transmission of "junk mail", "chain letters," or unsolicited mass mailing or "spamming";
promotes information that you know is false, misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
infringes any patent, trademark, copyright or other proprietary rights; or promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files;
contains restricted or password only access pages, or hidden pages or images (those not linked to or from another accessible page);
displays pornographic or sexually explicit material of any kind;
provides material that exploits people under the age of 18 years in a sexual or violent manner, or solicits personal information from anyone under the age of 18 years;
provides instructional information about illegal activities such as making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;
contains software virus or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource;
solicits passwords or personally identifying information for commercial or unlawful purposes from other users
engages in commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, and pyramid schemes
threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting any other nation;
impersonates (by creating or promoting fake profile) another person including any celebrity, public figure, figure of imminence/ importance, officer of law enforcement or any State authority, among others;
deceives or misleads the addressee about the origin of the message or knowingly and intentionally communicates any misinformation or information which is patently false and untrue or misleading in nature;

You must use the site, app and the services in a manner consistent with any and all applicable local, state, and federal laws, rules and regulations. HeyyPal employs tools and measures to keep the space safe for its users/members. However, it must be understood that no moderation or measure is perfect and the users/members are expected and required to practice safe internet practices, and not only strictly desist from publishing any prohibited or illegal content but on the other hand, also report any user/member publishing such content or otherwise acting in contravention of the Terms or applicable laws or against the interest of the any individual, community or user/ member. HeyyPal assumes no responsibility in the event the site, app or the service is used in connection with or for the perpetration of any of the prohibited activities or otherwise in contravention of the Terms and/ or applicable laws. As discussed above, HeyyPal will investigate and take appropriate legal action in its sole discretion against anyone who violates the Terms, including without limitation, removing the offending communication/Content from the Service and terminating the Membership of such violators, without any refund. HeyyPal will also assist the law enforcement by delivering the user data retained by HeyyPal including data/information/ Content published by the user/member which is prohibited and illegal, for the purpose of prevention, detection and investigation of any offence(s) as maybe required under the applicable law, in terms of the Privacy Policy.

You cannot include in your Member profile, visible to other members, any telephone numbers, street addresses, URL's, and email addresses.

11. Copyright Policy.

You cannot post, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights.

Without limiting the foregoing, if you believe that your work has been copied and posted on the HeyyPal service in a way that constitutes copyright infringement, please provide us with the following information:

an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
a description of the copyrighted work that you claim has been infringed;
a description of where the material that you claim is infringing is located on the Site or the app;
your address, telephone number, and email address;
a written statement by you that you have reason to believe that the disputed use is not authorized by the copyright owner, its agent, or the law;
a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.
Notice of claims of copyright infringement can be sent to us in writing to theB3/83, Basement. Safdarjung Enclave, New Delhi - 110029 located under the Help/Contact section on the site.

12. Your Interaction with other Members & Member Disputes.

You are solely responsible for your communication/ interaction with other HeyyPal Members/users. HeyyPal reserves the right, but has no obligation, to monitor disputes between you and other Members. HeyyPal also reserves the right to take appropriate action against errant members. However, HeyyPal is not obliged to share such action with other members, including complainants. HeyyPal expressly disclaims any responsibility or liability for any transactions or interactions between the members inter-se.

HeyyPal is only an intermediary facilitating personal advertisement for potential matchmaking, dating and interaction between persons who are legally competent to use the site and app and to utilise the services. HeyyPal shall not be responsible for any loss/ damage to any individual or any dispute arising out of or in connection with any relation(s) [including but not limited to dating (casual or serious) or matrimonial relation] established (or purported/ intended to be established) among the users/members by utilising the service. The use of service by the users/members in any manner inconsistent with the terms of use or the privacy policy and/ or in contravention to applicable laws including penal laws is strictly prohibited. Using the service by any member/user with the intent to commit any action or omission which may constitute an offence under the applicable law(s) is prohibited. However, in the event any member is alleged/ found to be guilty of commission of any offence and for the purpose of which such user/member either directly or incidentally may have (or alleged to have) utilised the service or any part of it, HeyyPal shall in no manner whatsoever be held liable/ charged/ accused of commission/ instigation/ abetment/ aiding (directly or indirectly) of any such offence. The role of HeyyPal in any such event shall be limited to assisting the law enforcement by delivering the user data retained by HeyyPal, for the purpose of prevention, detection and investigation of offence(s) as required under the applicable law, in terms of the Privacy Policy.

13. Privacy.

Use of the HeyyPal Site and/or app and/or the services is governed by our Privacy Policy available at:https://heyypal.com/policies/privacy. Kindly read the same and follow the guidelines to protect your privacy.

14. Disclaimers.

HeyyPal is not responsible for any incorrect or inaccurate Content/listing posted on the Site or the app or in connection with the HeyyPal Service, whether caused by Users, Members or by any of the equipment or programming associated with or utilized in the Service, nor for the conduct of any User and/or Member of the HeyyPal whether online or offline.
HeyyPal assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, failure of communications channel(s), theft or destruction or unauthorized access to, or alteration of, User and/or Member communications or any communication(s) by HeyyPal to its Members.
HeyyPal is not responsible for any problem(s) or technical malfunction of any telephone network or lines, computer on-line-systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any web site or combination thereof, including injury or damage to Users and/or Members or to any other person's computer related to or resulting from and/or in connection with the Service.
Under no circumstances will HeyyPal be responsible for any loss or damage resulting from anyone's use of the Site or the app or the Service and/or any Content posted on the HeyyPal Site or the app transmitted to HeyyPal Members. You should not provide your financial information (for example, your credit card or bank account information), or wire or otherwise send money, to other Members/users.
HeyyPal shall not be responsible for any loss or damage to any individual arising out of, or subsequent to, any relations [including but not limited to dating (casual or serious) or matrimonial relations] established pursuant to the use of service.
The Site, app and the Services are provided on "as-is" basis and HeyyPal expressly disclaims any warranty of fitness for a particular purpose or non-infringement. HeyyPal cannot guarantee and does not promise any specific results from use of the Site, app and/or the services. You understand that HeyyPal makes no guarantees, either express or implied, regarding compatibility with individuals you meet through the Service.
HeyyPal expressly disclaims any liability or responsibility whatsoever and howsoever arising as a result of any Content/listing posted on the Site / made available to HeyyPal by any Members or the users of the Site, the app, or any third party.
HeyyPal does not assume any responsibility or liability for any illegal Content posted on the Site by any Members, users or any third party.
All liabilities, whether civil or criminal arising out of any Content that is Posted on the Site or the app will be of that Member / user / third party who has posted such Content and HeyyPal reserves its right to claim damages from such Member/ user / third party that it may suffer as a result of such content posted on the Site or the app. HeyyPal does not claim ownership of content you submit or make available for inclusion on the Service.
Refund: By using the site, app and/ or the service or any component thereof, you acknowledge that the payment made by you (if any) for the purchase of any digital goods and/ or services offered by HeyyPal through in-app purchases shall not be refunded in any case, whatsoever.

When you make an in-app purchase, you avail digital goods in the nature of transferable digital points which can be utilised for several purposes provided within the app, site or the service. At any time after making payment for procuration of such digital goods/ services and allocation of digital goods/ services to your HeyyPal account, you shall not be entitled to seek a refund in respect of any payment made for any such goods/ service, irrespective of whether such digital goods/ service that you paid for, was utilised (whether wholly or in part) or unutilised.
HeyyPal may partner with third parties/ vendors/ partners to offer deals and promotions, including in the form of gift cards/ redeemable coupons which may be availed by you in exchange of digital points that you accumulate in your HeyyPal account. These gift cards/ redeemable coupons once procured by you, may be utilised in the manner prescribed therefor by the third party/ vendor/ partner that issued that gift card/ coupon. However, in the event that such third party/ vendor/ partner dishonours the gift card/ redeemable coupon or the like issued by it, the user shall not be entitled to hold responsible HeyyPal for any loss, damage or injury arising out of or in connection with such failure on the part of the said third party/ vendor/ partner to honour its obligation(s) and no action shall lie in this respect against HeyyPal.
The digital points allocated to the HeyyPal account of any user/member may remain available for utilization or redemption by such user/ member only for a specified period following the allocation. Failure to utilize or redeem the same within the given time period may lead to expiry of such points rendering them unusable/ utilizable/ unredeemable and the user/ member shall not be entitled to hold HeyyPal responsible for any loss, damage or injury arising out of or in connection with expiry or forfeiture of said points and no action shall lie in this respect against HeyyPal.
In the event, you terminate your membership, you will not be entitled to a refund towards any digital goods/ services purchased/ paid for by you, whether utilized or not, except where otherwise guaranteed in writing.
If HeyyPal terminates your membership for breach of terms of use or privacy policy, you will not be entitled to any refund of any money paid by you in respect of any paid goods/ services, whether utilized or unutilized.
Multiple profiles of the same person are not allowed on our Site or app. HeyyPal reserves the right to deactivate all multiple profiles without issuance of any refund, whatsoever.

15. Limitation on Liability.

In no event will HeyyPal be liable to you or any third person for any indirect, consequential, exemplary, incidental, special or punitive damages, including also lost profits arising from your use of the Site, app or the Service, even if HeyyPal has been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, HeyyPal's liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to HeyyPal, for the Service during the term of membership.

16. Jurisdiction.

If there is any dispute about or involving the Site, the app and/or the services, by using the Site, you unconditionally agree that all such disputes and/or differences will be governed by the laws of India and shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India only.

17. Indemnity.

You agree to indemnify and hold HeyyPal, its subsidiaries, affiliates, officers, agents, and other partners and employees, fully indemnified and harmless from any loss, liability, claim, or demand, including reasonable attorney's fees, made by any third party due to or arising out of your use of the Service in violation of this Agreement and/or arising from a breach of these Terms of Use and/or any breach of your representations and warranties set forth above and/or any fraudulent act on your part.

18. Other.
